I `1--v t3' PUBLIC COMMENTS Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to four minutes per person. Persons are invited to submit comments in writing on the agenda items and /or attend and make comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section 1 and Section 18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly, members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct themselves with proper respect and decorum in speaking to, and /or addressing the Court; in participating in public discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are inappropriately attired and /or who do not conduct themselves in an orderly and appropriate manner will be ordered to leave the meeting. Refusal to abide by the Court's Order and /or continued disruption of the meeting may result in a Contempt of Court Citation. It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the honesty and /or integrity of the Court, as a body, or any member or members of the Court, or County employees, individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and /or any person in the Court's presence and /or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of these rules may result in the following sanctions: 1. cancellation of a speaker's time; 2. removal from the Commissioners Court; 3. a Contempt Citation; and /or 4. such other and /or criminal sanctions as may be authorized under the Constitution, Statutes and Codes of the State of Texas. The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court. However, responses from the County Judge or Commissioners to unlisted public comment topics could become deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners Court will consider, the County Judge and /or Commissioners may choose not to respond to public comments, except to correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future agenda. See Texas Open Meetings Act ? 551.042. INVOCATION Any invocation that may be offered before the official start of the Court meeting shall be to and for the benefit of the Court. The views or beliefs expressed by the invocation speaker have not been previously reviewed or approved by the Court and do not necessarily represent the religious beliefs or views of the Court in part or as a whole. No member of the community is required to attend or participate in the invocation and such decision will have no impact on their right to actively participate in the business of the Court. To make arrangements, please call (979) 361 -4102. vol. 1 , p 3 .2 BRAZOS COUNTY BRYAN,TEXAS MINUTES May 10, 2011 BRAZOS COUNTY COMMISSIONERS COURT REGULAR MEETING A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 4:00 p.m. on Tuesday, May10, 2011 with the following members of the Court present: Duane Peters, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1; Sammy Catalena, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Irma Cauley, Commissioner of Precinct 4; Karen McQueen, County Clerk. The County Judge questioned if it was necessary to send three (3) people whereupon Eric Caldwell, Director of the Information Technologhy Department explained his reasons for sending three (3) to the training seminar. He said the state eliminated a position that was partially funded by the county so they reclassified the position to part time. There were also some duty changes for some of the staff. Call for Citizen input and /or concerns. Patrick Gendron, President of the local farmers association expressed appreciation to the fire fighters in Brazos County. He especially thanked the volunteers on behalf of the agricultural community and asked that the Commissioners Court remember them with funding. Chief Mike Wilson stated there were 555 inmates in jail, 53 have electronic monitors and are pending for monitors. 18. Agency/ Board/ Committee reports by Court members. Commissioner Catalena commended the volunteer fire fighters. He talked about fires and all the work done by the community to help. Even citizens brought coolers of drinking water. He thanked everyone who was out there and had a part in fighting the fires in his precinct. Commissioner Wassermann said that the annual Texas Trash off with Brazos Beautiful was held on April 30th. There were 350 volunteers, 16 different locations, 430 Vol. 1 c Pg. 3(Q abandoned tires picked up and 6 tons of trash and debris hauled off. Commissioner Mallard said he was going to a meeting tomorrow on the High Speed Rail. The committee is currently working on a corridor through San Antonio. 19. Adjourn. Nature and Scope The Program Assistant -4 -H is responsible for planning, implementing and evaluating Extension educational programs in the county in accordance with the policies and procedures of Texas AgriLife Extension Service and under existing agreements between the Texas A &M University System, the United States Department of Agriculture and the County Commissioners' Court. The responsibilities of the county Program Assistant -4 -H are performed in a professional manner through coordination and cooperation with other county staff members under the supervision of the Brazos County Extension Coordinator. II. Major Duties and Responsibilities A. Planning 1. Assumes responsibility for planning with committees, groups and organizations to conduct educational programs and activities. 2. Plans evaluation techniques for significant program activities. 3. Plans regularly with the total staff to coordinate programming efforts. B. Program Implementation 1. Assumes leadership responsibility in implementing the planned educational programs and activities in assigned program areas. 2. Supports and assists as needed in the implementation of educational programs and activities in program areas for which other staff members have assigned leadership responsibilities. 3. Assumes leadership or serves in a supporting role in implementing emergency programs as needs arise. 4. Identifies, recruits and trains local leaders to enable them to effectively perform their duties in committees, clubs and organizations. 5. Uses a variety of teaching methods, techniques, activities and materials in conducting educational programs. 6. Complies with the provisions of Title VI of the Civil Rights, Act of 1964 and the Affirmative Action Plan of Texas Cooperative Extension in conducting Extension educational programs. Vol. 114 Pg. 5 7. Works with and supports Extension - sponsored groups, such as 4 -H clubs and Program Area Committees, toward the achievement of increased participation and strengthened programs. C. Evaluation 1. Uses appropriate evaluation techniques to determine the progress of program activities in reaching the objectives of the county program. 2. Uses evaluation findings and suggestions from the people in making program revisions. D. Reporting 1. Maintains appropriate communications with county, district and administrative staffs to facilitate full understanding of the county program. 2. Prepares annual, monthly and special reports to show results of planning, program accomplishments and changes in the behavior of people resulting from educational programs. Reports are shared with appropriate individuals and groups. E. Office Management 1. Maintains a neat, attractive office which facilitates effective working conditions and represents a favorable image. 2. Keeps informed on Extension policy, research reports and publications which are applicable to program responsibilities and position description. 3. Participates in regularly scheduled county staff conferences to coordinate plans, activities and joint work to promote staff teamwork and to make the best use of each agent's time. 4. Cooperates in the maintenance of uniform files, up -to -date mailing lists, membership rolls of Extension related organizations and up -to -date inventories. 5. Keeps informed on and complies with the Equal Employment Opportunity Program of Texas Cooperative Extension. 6. Cooperates with other staff members in the development and implementation of and EEO Action Plan for the county office unit. F. Professional Development 1. Develops a long -range professional improvement plan with the Brazos County Extension Coordinator. 2. High School Diploma required. 2. Academic qualifications sufficient to indicate competence in technical subject. 3. This MOU is a written expression of the Parties' responsibilities regarding the Court ID Pilot Project as follows: A. PURPOSE a. TXDPS agrees to transfer all ownership rights for Court ID Pilot Project/ Livescan equipment listed in Schedule A and installed at the Recipient's facilities through participation in the Court ID Pilot Project. B. ELIGIBILITY a. Recipient Authority i. Recipient represents and warrants that: 1. It has the power and authority to enter into this agreement and to perform in a timely manner the obligations created hereunder; 2. The execution, delivery and performance of this agreement by Recipient has been duly authorized by all necessary action on the part of the Recipient, and; 3. This agreement constitutes the valid and binding obligation of Recipient and its successors and assigns, enforceable against it in accordance with its terms. C. GENERAL OBLIGATIONS a. Recipient acknowledges the following general obligations: that it shall not have the power or right to enter into a contract with a third party: i. For any work or assign any of the rights and obligations under this agreement without the prior written approval of the TXDPS except as provided in this agreement; ii. It shall prepare and deliver such reports as may be required by TXDPS, and; iii. All third party RMS vendors performing services on behalf of Recipient MUST have a fully executed FBI CJIS Security Addendum (not attached, made available upon submission of an originally signed Non - Disclosure Agreement). Third party RMS vendor(s) for the Recipient must submit an originally signed Page 1 of 12 Court ID Pilot Project MOU Vol. I 4 ( p 4-5 b. c. d. CJIS Security Addendum Certification for each employee performing duties related to this project prior to final contract award. Each original Certification must include an original signature of the employee and the Vendor's (Contractor's) representative. Non - compliance by third party RMS vendor will be cause for termination of this MOU. Recipient agrees to maintain all Court ID Pilot Project equipment to sustain performance of related data submissions or extractions as required by GC §411, CCP §60, 61, or 62, or current TXDPS Policies or Guidelines for applicable program. TXDPS shall have the authority to inspect and audit related Court ID Pilot Project operations and equipment to determine compliance with this agreement and all applicable laws and regulations. Any provisions of the MOU that impose continuing obligations on the Parties including, but not limited to the following, will survive the expiration or termination of this MOU for any reason: 1. The Recipient's obligation to maintain all Court ID Pilot Project/Livescan equipment listed in the MOU and installed through the Recipient's participation in the Court ID Pilot Project in a manner that will not impact requirements listed under Section C Subsection b of this MOU, and, ii. Any other provisions of this MOU that impose continuing obligations on either of the Parties or that govern the rights and limitations of either of the Parities after the expiration or termination of this MOU. E. ENTIRE AGREEMENT a. This agreement does not create any rights in any person or entity other than the Recipient and TXDPS. This agreement may be amended or modified only by subsequent written agreement by both parties. This agreement contains the entire understanding between the parties. The failure of either party to insist in any one or more instance upon performance of any term or condition of this agreement shall not be construed as a waiver of future performance. The obligations of either party with respect to such term shall continue in full force and effect. F. TERMINATION a. Without Cause - i. Either party may, without cause, terminate this MOU at any time by giving thirty (30) days' written notice to the other party. b. Legislative Action - i. TXDPS is a state agency whose authority is subject to the actions of the Texas Legislature and the United States Congress. If TXDPS and /or the subject matter of this MOU become subject to a legislative or regulatory change or the revocation of statutory or regulatory authority that would render the deliverables to be provided under this MOU impossible, unnecessary, void or substantially amended or that would terminate the appropriations for this MOU, TXDPS may immediately terminate this MOU without penalty to, or any liability whatsoever on the part of, TXDPS, the State of Texas and the United States. ii. Termination under this section is immediate, so TXDPS is not required to provide thirty (30) days notice under this section. c. Default - i. In the event that Recipient or the Recipient's RMS Vendor(s) fails to carry out or comply with any of the requirements of this MOU with TXDPS, TXDPS may notify Recipient of such failure or default in writing and demand that the failure or default be remedied within ten (10) days. In the event that Recipient fails to remedy such failure or default within the ten (10) day period, TXDPS will have the right to cancel this contract upon ten (10) days written notice. ii. The cancellation of this MOU, under any circumstances whatsoever, will not affect or relieve Recipient from any liability that may have been incurred pursuant to this MOU, and such cancellation by TXDPS will not limit any other right or remedy available to TXDPS at law or in equity. d. Cause or Convenience- i. For Convenience: This MOU may be terminated, without penalty, by TXDPS, without cause by giving thirty (30) days written notice of such termination to Recipient. For Cause: This MOU may be terminated by TXDPS if Recipient or the Recipient's RMS Vendor fails to perform as agreed or is otherwise in default, without the necessity of complying with the requirements in the section herein entitled "Termination by Default." iii. Termination for listing on Federal Excluded Party List, on the Terrorism List (Executive Order 13224) or on the State of Texas Debarred Vendor List: TXDPS shall have the absolute right to terminate this MOU without recourse as follows: a. If the Recipient's RMS Contractor becomes listed on the prohibited vendors list authorized by Executive Order #13224 "Blocking Property and Prohibiting Transactions with Persons Who Commit, Threaten to Commit, or Support Terrorism," published by the United States Department of Treasury, Office of Foreign Assets Control; b. If Recipient's RMS Vendor becomes suspended or debarred from doing business with federal government as listed in the Excluded Parties List (EPLS) maintained by the General Services Administration; or c. If the Recipient's RMS Vendor becomes listed on the State of Texas Debarred Vendor List. TXDPS will provide Recipient's RMS Contractor with written notice to terminate the contract, which termination will become effective immediately upon Recipient's RMS Vendor's receipt of the notice. iv. Liability (for Termination for Convenience)- a. In no event will termination for convenience by TXDPS give rise to any liability whatsoever on the part of TXDPS whether such claims of the Recipient or the Recipient's RMS Vendor are for compensation for anticipated profits, unabsorbed overhead, interest on borrowing, or for any other reason. TXDPS' sole obligation hereunder is to pay the Recipient for deliverables ordered and received prior to the date of termination, if TXDPS accepts such deliverables. G. LIABILITY FOR HARM a. To the extent authorized by law, Recipient agrees to indemnify and hold harmless TXDPS, its Director, and its employees from and against any and all claims, demands, actions and suits, including but not limited to any liability for damages by reason of or arising out of any false arrest or imprisonment or any cause of action whatsoever, arising out of or involving any negligence on the part of Recipient or its employees in the implementation of this agreement. H. CERTIFICATIONS The undersigned contracting parties do hereby certify that: a. The services specified above are necessary and essential for activities that are properly within the applicable statutory functions and programs of the affected parties; b. The proposed arrangements serve the interest of the efficient and economical administration of the State of Texas; and c. The services, supplies or materials contracted for are not required by Section 21 of Article 16 of the Constitution of the State of Texas to be supplied under contract to the lowest bidder. DPS certifies that it has authority to make this agreement under Chapter 411.006 of the Texas Government Code, and Chapter 411, Subchapter F of the Texas Government Code. Recipient agrees to continue to perform related data submissions or extractions as required by GC §411, CCP §60, 61, or 62, or current TXDPS Policies or Guidelines for applicable program. b. By signing this agreement, Recipient certifies that its personnel responsible for the RMS modification implementation have read, understood, and will fully comply with all relevant TXDPS Policies and Guidelines listed in Schedule A. Recipient agrees to keep all personnel responsible for the TXDPS Project identified in Schedule A, fully informed as to all relevant policies and guidelines. c. TXDPS shall have the authority to inspect and audit the records and operations of Recipient to determine compliance with this agreement and all applicable laws and regulations. For the faithful performance of the terms of this MOU, the parties, by their authorized representatives, affix their signatures and agree that they have authority to bind their respective agencies to the provisions of this MOU and that they are so bound. This MOU may be executed by the parties in duplicate. All other terms and conditions of the Agreement remain unchanged and in full force and effect. Title and Risk of Loss of the goods shall not pass to Brazos County until the County actually accepts and takes possession of the goods at the point or points of delivery. 14. This agreement shall be governed by the Uniform Commercial Code as adopted in the State of Texas as effective and in force on the date of this agreement. 15. Bids must be submitted on units of quantity specified. In the event of errors in extended prices the unit price shall govern. Any suggested change in quantity on the part of the bidder to secure better price or delivery is welcomed and may be given consideration provided that the bidder also bids on the quantity specified. If delivery is not made within a reasonable time of the specified delivery in the bid, the entire order or contract may be canceled and the bidder barred from quoting in future bids. 17. Bids cannot be altered after receiving time. No bid may be withdrawn after opening time without acceptable reason and with the approval of the Purchasing Agent. 18.
