21. Permission to add Texas Facilities Commission to Brazos County's list of vendors who
are exempt from competitive bidding under section 262.024(a)(9)(c) of the Local
Government Code.
22. Acceptance of Special Warranty Deeds from the following for improvements to Cole
Lane located in Precinct 3:
a. Michael I Miller and Gisella E. Miller
b. Paul Ashton Boatright.
23. Final Plat of Wolf Estates Subdivision Lots 1 -3, Block 1, 24 acre tract, William Devers
Survey, A -14, Brazos County, Texas with exception to the following requirement:
show 10 ft. Public Utility Easement centered on all interior lot/property lines. Site is
located in Precinct 1.
24. Payment Authorization in the amount of $4,500.00 to Blinn College for registration in
the Basic Peace Officer Academy; a purchase order was not obtained in advance.
25. Payment Authorization in the amount of $3,000.00 to Milam County for out of county
housing of inmates for the month of March 2010.

PUBLIC COMMENTS
Public Comment during the Commission Meeting may be for all matters, both on and off the agenda, and be limited to
four minutes per person. Persons are invited to submit comments in writing on the agenda items and/or attend and make
comment at the Commission meeting. Members of the public are reminded that the Brazos County Commissioners
Court is a Constitutional Court, with both judicial and legislative powers, created under Article V, Section I and Section
18 of the Texas Constitution. As a Constitutional Court, the Brazos County Commissioners Court also possesses the
power to issue a Contempt of Court Citation under Section 81.024 of the Texas Local Government Code. Accordingly,
members of the public in attendance at any Regular, Special and/or Emergency meeting of the Court shall conduct
themselves with proper respect and decomm in speaking to, and/or addressing the Court; in participating in public
discussions before the Court; and in all actions in the presence of the Court. Those members of the public who are
inappropriately attired and/or who do not conduct themselves in an orderly and appropriate manner will be ordered to
leave the meeting. Refusal to abide by the Court's Order and /or continued disruption of the meeting may result in a
Contempt of Court Citation.
It is not the intention of the Brazos County Commissioners Court to provide a public forum for the demeaning of any
individual or group. Neither is it the intention of the Court to allow a member (or members) of the public to insult the
honesty and/or integrity of the Court, as a body, or any member or members of the Court, or County employees,
individually or collectively. Accordingly, profane, insulting or threatening language directed toward the Court and/or
any person in the Court's presence and/or racial, ethnic or gender slurs or epithets will not be tolerated. Violation of
these rules may result in the following sanctions:
1. cancellation of a speaker's lime;
2. removal from the Commissioners Court;
3. a Contempt Citation; and/or
4. such other and /or criminal sanctions as may be authorized
under the Constitution, Statutes and Codes of the State of Texas.
The County Commissioners Court can deliberate or take action only if a matter has been listed on an agenda properly
posted prior to the meeting. During the public comment period, speakers may address matters not listed on the published
agenda. The Open Meeting Law does not expressly prohibit responses to public comments by the Commissioners Court.
However, responses from the County Judge or Commissioners to unlisted public comment topics could become
deliberation on a matter without notice to the public. To ensure the public has notice of all matters the Commissioners
Court will consider, the County Judge and /or Commissioners may choose not to respond to public comments, except to
correct factual inaccuracies, recite existing policy in response to an inquiry or to ask that a matter be listed on a future
agenda. See Texas Open Meetings Act §551.042.

COMMISSIONERS' COURT
REGULAR MEETING
MAY 25, 2010
A regular meeting of the Commissioners' Court of Brazos
County, Texas was held in the Brazos County Commissioners
Courtroom in the Administration Building, 200 South Texas
Avenue, in Bryan, Brazos County, Texas, beginning at 9:00 a.m.
on Tuesday, May 25, 2010 with the following members of the
Court present:
Randy Sims, County Judge, Presiding;
Lloyd Wassermann, Commissioner of Precinct 1;
Duane Peters, Commissioner of Precinct 2;
Kenny Mallard, Commissioner of Precinct 3;
Irma Cauley, Commissioner of Precinct 4;
Karen McQueen, County Clerk.
The attached sheets contain the names of the citizens and
officials that were in attendance.
Commissioner Cauley gave the invocation and then led the
pledge of allegiance.
There was no citizen input /and or concerns.
The Court next heard an update on the Health Care Reform
Legislation presented by Brenda Cos, Brazos County's
consultant with Plumhoff & Associates.
The first matter before the Court was a Change Order on
purchase order #10002451 to Texas Communications for the radio

repeaters project, adding $885.00 to upgrade the FCC license
for the repeaters. On motion by Commissioner Peters, seconded
by Commissioner Cauley, the Court voted unanimously to approve
the change order in the amount of $885.00.
The Court next considered Budget Amendment #09/10 -32.1
through 32.9 that would reallocate funds for Juvenile
Services, County Clerk Records Management Fund, District Clerk
Jury Services, Justice of the Peace, Precinct 2, Place 2
Technology Fund, Metropolitan Planning Organization, TJPC -G-
Prog Sanctions 1 -2 -3, Set up a grant for BVCOG -Inter Local,
Jail Expansion 2007 (2). On motion by Commissioner Cauley,
seconded by Commissioner Peters, the Court voted unanimously
to approve the budget amendments as submitted. A copy each
amendment is attached.
The Court proceeded to consider the change of status of
employees as submitted on the attached Personnel Action
Requests. On motion by Commissioner Wassermann, seconded by
Commissioner Cauley, the Court voted unanimously to approve
the changes as submitted.
The Court next considered the following Claims as
submitted by the County Treasurer for payment:

On motion by Commissioner Cauley, seconded by Commissioner
Peters, the Court voted unanimously to approve the Claims as
submitted.
The next matter for consideration was Resolution 10 -010.
On motion by Commissioner Cauley, seconded by Commissioner
Peters, the Court voted unanimously to adopt Resolution #10-
010 authorizing the County Judge to approve the issuance of
Hospital Revenue Bonds issued for the benefit of Scott and
White Memorial Hospital and Scott, Sherwood and Brindley
Foundation. A copy is attached.
The next matter before the Court was consideration of
Order 10 -004 declaring Cedar Solutions to be in default on Bid
No. 2010 -26 for the mowing of grass along Brazos County roads
and rights -of -way. On motion by Commissioner Wassermann,
seconded by Commissioner Cauley, the Court voted unanimously
to adopt Order 10 -004 declaring Cedar Solutions to be in
default on Bid No. 2010 -26 and cancelling the contract.
The next matter before the Court was consideration of
Order 10 -005 Exempting the mowing of County rights -of -way from
competitive bidding under section 262.024(a)(2) of the Local
Government Code. On motion by Commissioner Peters, seconded
by Commissioner Wassermann, the Court voted unanimously to

exempt the mowing of County rights -of -way from competitive
bidding.
The Court next considered awarding a contract for the
mowing of County rights -of -way. Charles Wendt, Assistant
Purchasing Agent, recommended acceptance of the contract with
BioLandscapes and Maintenance, Inc. Commissioner Cauley wanted
the minutes to reflect that this company was the second lowest
bidder. Richard Vance, County Engineer said he had no
personal experience with the company. On motion by
Commissioner Cauley, seconded by Commissioner Wassermann, the
Court voted unanimously to accept the recommendation of the
Assistant Purchasing Agent and award the contract to
BioLandscapes and Maintenance, Inc. A copy of the contract is
attached.
The next matter for consideration was approval of tax
refund applications from the following individuals and /or
companies:
a. Residential Credit Solutions, over payment $6,684.66
b. William E. Heitkamp, over payment $47.04
c. Billy Bob Messimer, Jr., over payment $5.33
d. Lucille K. Dockery, over payment $5.83
e. J. Cruz Longoria, over payment $33.81
f. Dorothy S. Bienski, over payment $41.20
g. Chanie Dix Jordan, over payment $44.62
h. Jsaon Wayne Olivarez, over payment $ 70.45

On motion by Commissioner Wassermann, seconded by Commissioner
Peters, the Court voted unanimously to approve the tax refund
applications.
The next matter for consideration was approval for the
Purchasing Agent to advertise Bid 2010 -37, Collection of
Delinquent Criminal and Civil Fines and Fees. On motion by
Commissioner Peters, seconded by Commissioner Wassermann, the
Court voted unanimously to authorize the Purchasing Agent to
advertise for bids for Collection of Delinquent Criminal and
Civil Fines and Fees.
The Court next considered a capital manual requisition in
the amount of $52,236.05 to Southwest Solutions Group for the
purchase of a file storage system for the Brazos County Jail
Expansion. The County Judge questioned the need with scanners.
On motion by Commissioner Cauley, seconded by Commissioner
Peters, the Court voted unanimously to approve the
requisition.
The next matter for consideration was a manual
requisition in the amount of $15,379.00 to Seamless Home
Products to have the rain gutters removed and replaced at the
Brazos County Detention Center. Commissioner Cauley asked if
this was not the lowest bid. Carlos Guitron. Director of
Building Maintenance replied that he felt this company would

best meet the standards of the project and that time was of
the essence. On motion by Commissioner Peters, seconded by
Commissioner Wassermann, the Court voted unanimously to
approve the requisition.
The next matter for consideration was a change order on
the capital requisition to PX Direct for jail vestibules. The
change order would add $930.00 and allow for the vestibules to
fit in a designated area that was not considered in the
original quote. If approved, this will increase the amount of
the quote to $22,880.00. On motion by Commissioner Peters,
seconded by Commissioner Cauley, the Court voted unanimously
to approve the change order.
The Court proceeded to consider change order number 12 in
the amount of $1,050.00 to Building Abatement Demolition
Company for the renovation,of the Courthouse. If approved,
this will increase the contract amount from $108,000.00 to
$109,050.00. On motion by Commissioner Peters, seconded by
Commissioner Mallard, the Court voted unanimously to approve
the change order.
The Court next considered the renewal of Bid #2009-37 -
Office Supplies with Perry Office Plus. All terms and
conditions will remain the same with no price increase. On
motion by Commissioner Peters, seconded by Commissioner

Wassermann, the Court voted unanimously to approve the renewal
with the new bid number of 2010 -33R.
The next matter for consideration was the renewal of bid
2010 -10, Asphalt, Oil & Emulsion -AEP. There is no increase in
the rates. On motion by Commissioner Wassermann, seconded by
Commissioner Cauley, the Court voted unanimously to approve
the renewal of bid 2010 -10 with the following vendors:
a) Primary - Martin
b) Secondary - Cleveland
The Court next considered the renewal of the carpet
cleaning bid with Asure Carpet Cleaning. All terms and
conditions remain the same with no price increase. On motion
by Commissioner Peters, seconded by Commissioner Wassermann,
the Court voted unanimously to approve the renewal of the
carpet cleaning bid with Asure Carpet Cleaning.
The next matter for consideration was a request from the
Purchasing department that Texas Facilities Commission be
added to the exemption from competitive bidding list in order
to purchase generators for Emergency Management. On motion by
Commissioner Cauley, seconded by Commissioner Peters, the
Court voted unanimously to approve the request.

The Court next considered acceptance of Special Warranty
deeds from the following for improvements to Cole Lane located
in Precinct 3:
a) From Michael J Miller and Gisella E. Miller
b) From Paul Ashton Boatright
On motion by Commissioner Mallard, seconded by Commissioner
Cauley, the Court voted unanimously to authorize the County
Judge to accept on behalf of Brazos County Special Warranty
Deeds from Michael J. Miller and Gisella E. Miller; and Paul
Ashton Boatright for the expansion and improvements to Cole
Lane.
The Court next considered approval of the Final Plat of
Wolf Estates Subdivision Lots 1 -3, Block 1, 24 Acre Tract in
Precinct 1. Richard Vance, County Engineer, stated that he
had reviewed the plat and all appeared to be in order. On
motion by Commissioner Wassermann, seconded by Commissioner
Cauley, the Court voted unanimously to approve the final plat
of Wolf Estates Subdivision Lots 1 -3, Block 1, 24 Acre Tract
as submitted.
The next matter for consideration was a payment
authorization from the Jail Division in the amount of
$4,500.00 to Blinn College for registration in the Basic Peace

advance. On motion by Commissioner Cauley, seconded by
Commissioner Peters, the Court voted unanimously to approve

The Court next considered another payment authorization
from the Jail Division in the amount of $3,000.00 to Milam
County Sheriff for cost of housing Brazos County inmates
during the construction of the Detention Center. No purchase
order was obtained in advance. On motion by Commissioner
Cauley, seconded by Commissioner Peters, the Court voted
unanimously to approve the payment authorization.
Under announcement of interest items and possible future
agenda topics the following spoke:
Commissioner Mallard
a) Announced that there will be a Town Hall
meeting at College Station City Hall on
Friday, May 28 at 10:00 a.m. on the High
Speed Rail.
Judge J. D. Langley, 85 District Court
a)Stated that he has issues with the
remodeling project and the staging of
offices. The Architect is saying there may
be a two (2) week period per side of the
Courthouse in which offices will have to be
closed or temporarily relocate. He offered a
temporary relocation plan along with remodel
and demolition plan for the 2" 3` and 4th
floors.

Sheriff Chris Kirk
a) There were 523 inmates in jail, 61 have
monitors and 38 are pending for monitors.
Commissioner Mallard
a) Asked Richard Vance, County Engineer how
many builders in the County turned in
inspection reports. Mr. Vance stated none
that he was aware of.
b) Commissioner Mallard then addressed a change
to the Order for Subdivision and
Development Regulations recently approved
by the Commissioners Court.

members.
There being no further business to come before the Court,
the meeting was adjourned.

RESOLUTION OF COMMISSIONERS COURT OF BRAZOS
COUNTY, TEXAS, AUTHORIZING THE COUNTY JUDGE TO
APPROVE THE ISSUANCE OF HOSPITAL REVENUE
BONDS ISSUED FOR THE BENEFIT OF SCOTT AND WHITE
MEMORIAL HOSPITAL AND SCOTT, SHERWOOD AND
BRINDLEY FOUNDATION
WHEREAS, Tarrant County Cultural Education Facilities Finance Corporation (the
"Issuer ") is proposing to issue one or more series of its Hospital Revenue Bonds (Scott and
White Memorial Hospital and Scott, Sherwood and Brindley Foundation Project) Series 2010
(the "Bonds "), pursuant to the Cultural Education Facilities Finance Corporation Act,
Article 1528m, Texas Revised Civil Statutes, as amended from time to time (the "Enabling
Act "), to provide funds to finance or refinance all or part of the cost of "health facilities" (as
defined in the Health Facilities Development Act, Chapter 221, Texas Health and Safety Code,
as amended from time to time (the "Health Act ")); and
WHEREAS, the proceeds of the Bonds will be loaned by the Issuer to Scott and White
Memorial Hospital and Scott, Sherwood and Brindley Foundation (the "Hospital "), a Texas
nonprofit corporation or a tax - exempt affiliate, for the purpose of financing or refinancing the
cost of "health facilities" (the "Project "); and
WHEREAS, a portion of the proceeds of the Bonds will be used in connection with
financing or refinancing certain facilities at the Bryan - College Station Clinic, the Bryan- College
Station Pharmacy and a facility to be located on Highway 6 at rock Prairie Road in College
Station, as described in a notice of public hearing published in the Austin American Statesman a
newspaper of general circulation within Brazos County, Texas (the "County"); and
WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended (the
"Code ") requires that the Bonds and the Project be approved by the "applicable elected
representative" (as defined in the Code) of the jurisdiction in which any portion of the Project is
located after a public hearing following reasonable public notice; and
WHEREAS, such public hearing has been held by or on behalf of the County with the
approval of the Issuer (as described in Exhibit A hereto and within the meaning of the Code), all
in accordance with and pursuant to the requirements of the Code and the regulations promulgated
thereunder; and
WHEREAS, the County Judge of Brazos County has been requested to approve, as the
"applicable elected representative" of the County, the issuance of the Bonds and the Project in
accordance with the requirements of the Code, and has been or will be furnished with an
affidavit of publication and minutes of public hearing in connection therewith; and
WHEREAS, the Commissioners Court of the County desires to authorize the County
Judge to approve the issuance of the Bonds and the Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSIONERS COURT OF
BRAZOS COUNTY, TEXAS, THAT:

Section 1. The County Judge of Brazos County, Texas, is hereby authorized to
approve the issuance of the Bonds and the Project and to execute and deliver such approval as
requested.
Section 2. The authorization to approve the Bonds and the Project is made solely for
the purposes of complying with the requirements of Section 147(f) of the Code and shall not be
construed as (i) a representation or warranty by the County Judge, the County or the
Commissioners Court that the Bonds will be paid or that any obligations assumed by any of the
parties will, in fact, be performed, or (ii) as a pledge of the faith and credit of or by the County.
Further, the fact that the Commissioners Court has authorized the approval of the Bonds and the
Project, as herein stated, may not, in any event, be used as a sales device with respect to the
Bonds.
Section 3. This Resolution shall be effective upon its adoption.

Dear Judge Sims:
This letter is to request your approval of the issuance by Tarrant County Cultural
Education Facilities Finance Corporation (the "Issuer"), of its Hospital Revenue Bonds,
Series 2010 (the "Series 2010 Bonds ") for the benefit of Scott and White Memorial Hospital
and Scott,. Sherwood and Brindley Foundation (the "Hospital ") in connection with the
financing or refinancing of a portion of the health facilities owned or to be owned and
operated by the Hospital at located at 1600 University Drive, at 1110 State Highway 6 South,
and the southeast corner of Highway 6 and Rock Prairie Road in College Station (the
"Project ").
Your approval of the issuance of the Series 2010 Bonds is required by Section 147(f)
of the Internal Revenue Code of 1986 (the "Code') in order for the interest on the bonds to
be exempt from federal income taxation. Your approval in no way creates an obligation or
liability for Brazos County. (The requested approval is similar to the request you approved
in July 2008 with respect to the Hospital's refinancing of facilities located in College
Station.)
The Code requires that the Series 2010 Bonds and the facilities financed or refinanced
by such Bonds be approved by the "highest elected representative" of the county in which
any portion of the health care facilities is located. Such approval must be given after
publication of notice and the holding of a public hearing regarding the issuance of such
Bonds and the facilities to be financed or refinanced. The Notice of Public Hearing was
published in the Austin American- Statesman on April 29, 2010, and the public hearing is

scheduled to be held May 13, 2010. A copy of the Affidavit of Publication is enclosed as an
attachment to the proposed Minutes and Certification of Public Hearing which will be
executed and forwarded to you following the hearing on May 13, 2010.
On behalf of the Hospital, we are requesting your approval of the issuance of the
Series 2010 Bonds and the Project solely for the purpose of complying with the public
approval requirements of the Code. Enclosed for your signature is the Approval of
Applicable Elected Representative of Brazos County (the "Approval ") to be executed on or
after Thursday, May 13, 2010, upon your receipt of the executed Minutes and Certification of
the Public Hearing.
While it is not required by the Code that the Commissioners Court take official action
to authorize your execution of the Approval, if such official action is desired, enclosed is a
resolution the Court may consider for such purpose; we request that the resolution be
included in the Court's May 25th agenda We respectfully request your execution of the

Commissioners' Court, as duly put and carried.
WHEREAS, the Commissioners' Court of Brazos County declares that the mowing of
grass along Brazos County roads and rights -of -way during the summer growing season helps
promote the public health or safety for Brazos County residents by helping to maintain visibility
for drivers (sight - distance), protecting drivers at known animal crossings, helping reduce the
instance and severity of grass fires, and helping to abate the effects of the West Nile Virus
carrying mosquito.
THEREFORE, IT IS ORDERED, ADJUDGED AND DECREED by the
Commissioners' Court of Brazos County, Texas, that Mowing Services is an item necessary to
preserve and/or protect the public health or safety of Brazos County residents, and this

MOWING SERVICES AGREEMENT
1.0 GENERAL Brazos County, a political subdivision of the State of Texas, hereafter called the
County. The Contractor is the individual, Firm, or Corporation or any combination thereof with
which this agreement is made by the County. The County and Contractor are referred to in the
singular number throughout these specifications.
The Contractor shall carefully examine the specifications on file and secure from the County
additional information, if necessary, that may be requisite to a clear and full understanding of the
work. All work performed by the Contractor shall be done during daylight hours only on working
days observed by the County, normally Monday through Friday, unless otherwise approved by the
Director of Road and Bridge or his representative.
The terms and specifications attached as "Attachment A" are adopted and incorporated herein by
references as though fully set forth.
The Contractor shall be responsible for damage to the County's equipment, property, and/or buildings
and their contents, by the Contractor's work, negligence in work, personnel, and/or equipment. The
Contractor shall be liable for the safety, injury and health of its working personnel while performing
under this agreement.
The Contractor shall furnish all supplies (except herbicide and fertilizer, if any is required, to
be furnished by the County), equipment and labor to successfully perform the duties specified
in this agreement.
All employees of the Contractor shall be no less than 18 years of age with minimum of at least one
year experience in the type of work being performed. All employees shall be well - groomed, fully
and neatly dressed at all times when on duty and shall be sober while on duty. No alcoholic
beverages or illegal drugs allowed while on duty, any such use by the Contractor or its employees
shall constitute grounds for termination of this agreement.
Mowing services is an item necessary to preserve and /or protect the public health or safety of Brazos
County residents, and this Commissioners Court has previously adopted an Order exempting mowing
services contracts from the competitive - purchasing requirements under section 262.024(a)(2) of the
Texas Local Government Code
2.0 ABANDONMENT OR DEFAULT If the Contractor abandons or defaults on any work under this
agreement and causes this work to be rebid, such Contractor will not be considered in future
proposals for the same work. This agreement will also be voided if it is sold, transferred or assigned
to another Contractor (maintenance service company), without prior written notice and approval of
the County.

3.0 LEGAL REQUIREMENTS AND PERMITS The Contractor shall procure, at its own expense, all
necessary licenses and permits, and shall conform to all laws, regulations and ordinances applicable
to the performance of this agreement and will pay all applicable Federal and State taxes and comply
with any applicable laws or ordinances.
4.0 CANCELLATION The County may, at any time, terminate this agreement in whole by not less
than One (1) day notice in writing that the Agreement is terminated. The County will pay the
Contractor the price for the service to the date specified in the notice of termination, provided such
service has been supplied up to that date. Termination under this paragraph shall not relieve the
Contractor of any obligations or liability that has occurred prior to such termination.
5.0 COMPETENCE OF CONTRACTOR To be entitled to consideration, the Contractor shall have
available, under its direct employment and supervision, the necessary organization and facilities to
properly fulfill all the services required under this agreement, and only personnel trained in mowing
service of this type shall be employed under and for this agreement.
6.0 INDEMNIFY AND HOLD HARMLESS The Contractor agrees to indemnify and hold harmless
the County, its agents and employees against:
1) any and all loses and liabilities for personal injury, death, or property damage arising out of, or as a
consequence of, any work performed under the agreement;
2) any and all expenses related to claims or lawsuits resulting from the above, including court costs and
attomey(s) fees; and
3) all penalties and damages incurred by reason of contractors failure to obtain any permit or license
under, or comply with any applicable laws, ordinances, or regulations. The Contractor shall not be
released from these responsibilities until all claims have been settled and suitable evidence to that
effect famished the County.
7.0 INSURANCE: Throughout the term of this agreement, the Contractor shall carry insurance
providing the coverage listed below; such coverage shall be kept in effect during the full term of this
agreement:
a. Statutory Workmen's Compensation and Employer's Liability Insurance with a waiver of
subrogation.
b. General Liability with limits for bodily injury and for property damages of not less than
$1,000,000 CSL with Brazos County named as an additional insured.
C. Comprehensive Automotive Liability with single limits of $500,000 for Bodily Injury and
Property Damage Liability.
3. All of the aforementioned policies and Certificates of Insurance should be issued immediately after the
Bidder receives notification of award.
An original Certificate of Insurance from the Insurance Company evidencing the above coverage
shall be made out to the name of the Contractor exactly as it appears on the signature of the Invitation
for Bid; and shall be forwarded to the County no later than 15 days after the award of the bid is
approved by the County Commissioners Court and signed by the County Judge. The County shall be

listed as an additional insured party. In addition to all insurance requirements of this agreement, all
policies and certificates shall be endorsed and provide the following clause:

notify Brazos County thirty (30) days in advance of the effective date of any reduction or cancellation
of this policy." The Contractor shall be responsible for any deductible amounts stated in the policy.
8.0 . LIENS Because this is a public purchase, the Contractor shall hold the County harmless from any
claimants supplying labor or materials to the Contractor or its contractors in the performance of the
work required under this agreement. The Contractor shall provide written certification that all liens
against labor and material have been satisfied, before the County will make payment.
9.0 CONTRACTOR'S PERFORMANCE The terms and provisions contained in "Attachment A" are
adopted and incorporated herein by reference as though fully set forth herein. In addition the
following guide the contractor's performance:
1) Contractor shall furnish all necessary labor, tools, appliances, equipment, supplies, maintenance, and
other accessories, services, and facilities required to perform the specified mowing service;
2) the County will decide all questions which may arise as to the quality and acceptability of any work
performed under this agreement;
3) if in the opinion the County's Engineer or its designated representative, performance becomes
unsatisfactory, the County may contact the Contractor and the Contractor will have 24 hours to
correct any specific instances of unsatisfactory performance;
4) Contractor shall furnish an incident report for all accidents, damages to county or personal property
caused by or related to performance of this contract;
The County reserves the right to charge the defaulted Contractor the cost to cover the difference between the
defaulted Contractor's price and any new agreement price for the original contract period.
CONTRACTOR SHALL PROVIDE TELEPHONE NUMBER(s) WHERE THEY CAN BE CONTACTED.
10.0 INSPECTIONS The County, through its designated representative, may conduct random
inspections of the areas covered under this agreement. Any unsatisfactory performance found shall
be noted in writing and shall be corrected within 24 hours.
11.0 SAFETY The Contractor must be familiar with, and operate within, all applicable safety guidelines
established by Federal, State, and local law. For all operations requiring the placement and
movement of the Contractor's equipment, the Contractor shall observe and exercise all necessary
caution and discretion, so as to avoid injury to persons, damage to property of any and all kinds, and
annoyance to, or undue interference with the movement of the public and County personnel.
Contractor is responsible for providing any required traffic control. Contractor shall park equipment
in such a manner as to provide maximum safety to persons and property and cause the least possible
interference with the normal use of such areas by the public and County personnel.
12.0 WORK SUPERVISION Contractor's job manager and supervisor must be literate in the English
language, because of the necessity to read chemical labels, job instructions, signs and safety

guidelines on equipment, as well as converse with management personnel.
13.0 EMERGENCY TELEPHONE NUMBERS In case of emergency, Contractor shall notify:

14.0 STORAGE SPACE The County is not responsible for providing storage space for equipment or
supplies that are owned or utilized by the Contractor on the County's premises. Storage may be
permitted from time -to -time but Contractor remains solely responsible for the safety and upkeep of
any of such equipment being stored.
15.0 PAYMENT FOR SERVICES PERFORMED The terms and provisions set forth in paragraph E(r)
of Attachment A are adopted and incorporated herein as though fully set forth. All or a portion of a
cycle's pay may be deducted from any payment for services that have been invoiced and which are
not satisfactorily completed.
16.0 PERIOD OF SERVICE This service shall be for the period from April 30, 2010 through April 29,
2011. The County reserves the right to extend this contract annually for no more than three (3) one
year periods, provided that both the County and the Contractor agree to the same terms and
conditions in Attachment A, including no increases in prices.
17.0 LIST OF EMPLOYEES Upon request by the County, Contractor will be required to submit a
current list of all employees who are or will be performing work under this agreement. Contractor
will also be required to submit in writing any changes in the employment list within 24 hours.

18.0 DESCRIPTION AND LIMITS OF SERVICE The terms and provisions set forth herein and in
paragraphs E((1), (2) and (3) of Attachment A are adopted and incorporated herein by reference the
same as though fully set forth.
19.0 OTHER RESPONSIBILITIES The Contractor shall report in writing any needed repairs noticed
while performing under this agreement such as: water leaks, vandalism, etc. to the County Engineer
or his representative.
20.0 COUNTY All work performed under this agreement shall be to the satisfaction of the County
Engineer or his representative, and in accordance with the specifications found in Attachment A,
which is adopted and incorporated herein by reference as though fully set forth herein, and any
additional terms contained herein. The County will notify the Contractor when services are to be
performed; the manner of performance; and interpret and decide any and all discrepancies of the
specifications, acceptance of work. The County's decisions will be final as to any decisions and/or
requests made to the Contractor.
21.0 GOVERNING LAW This Agreement shall be governed by the Texas Uniform Commercial Code
and the laws of the State of Texas.

22.0 NOTICES: All notices required to be given hereunder shall be deemed to be duly given by
delivering such notice or by mailing it, registered mail to the other party at the following addresses:

23.0 FURTHER ASSURANCES Each party hereto agrees to perform any further acts and to execute
and deliver any further documents, which may be necessary to carry out the provisions of this
Agreement.
24.0 NO WAIVER OF IMMUNITY: The parties expressly agree that no provision of this Agreement is
in any way intended to constitute a waiver or any immunities from suit or from liability by Brazos
County has by operation of law. Nothing in this Agreement is intended to benefit any third party
beneficiary.
25.0 SEVERABILITY: In the event that any of the provisions or portions thereof, of this Agreement, are
held to be unenforceable or invalid by any court of competent jurisdiction, the validity and
enforceability of the remaining provisions or portions thereof shall not be affected thereby.
26.0 ASSIGNABILITY: This Contract is not assignable by the Contractor without the prior written
consent of the County.
27.0 ENTIRE AGREEMENT This Agreement contains the entire understanding between the parties
hereto concerning the subject matter contained herein. There are no representations, agreements,
arrangements, or understandings, oral or written, between or among the parties hereto, relating to the
subject matter of the Agreements, which are not fully expressed herein.
28.0 AMOUNT The amount of the contract is $59.88 fence to fence mowing price per mile and $50.00
for safety moving price per mile.
Executed in duplicate, each of which shall have the full force and effect of an original.

beyond normal weathering is also excluded.
