Contract with Brazos County Historical Commission effective October 1, 2008 through September 30, 2009. 14. Payment of Claims. 15. Tax Refund Application for Ree Vee & Linda Thompson. 16 Resolution Authorizing the Institution by the County Attorney of Eminent Domain Proceedings concerning a tract of land at 1821 Sandy Point Road, Bryan, Texas. 17. The rate to be paid by each employee for health insurance at $30.00 per month. The amount to be paid by each employee for dependent coverage will increase by 5% for each category. These rates will also apply to retirees who retired after 2000 with 8 years of service. The premiums for dental insurance will increase by 20% for each category. These rates will become effective January 1, 2009. 18. Award of Bid # 2008-047 for Oil Changes for 2008/2009 to H&M Wholesale as recommended by the Purchasing Department. 19. Asset Forfeiture Report for Constable, Precinct 1. 20. To maintain the Texas County and District Retirement plan provision for plan year 2009 with no change in benefits 21. Request from Wickson Creek Special Utility District to construct a road bore for water line installation in the right-of-way of Saxon Road (approximately 0.6 mile from it's intersection with FM 2038.) Approval of Earnest Money Contract and grant authorization for the County Judge to sign all documents necessary to close the transaction for sale of4,400 square feet of land along Jones-Butler Road located in Precinct 1. 25. Extension of Medical Contract with Dr. Rany Cherian for the 2008-2009 fiscal year to provide medical services to the inmates of the Brazos County Jail on a month to month basis. This contract provides for a monthly fee of $5,000 for professional fees. 26. Contract with ATM Adventures to provide ATM Machines at the County Administration Building and Exposition Complex. 27. Data Access Agreements for the use of data obtained, stored and maintained by Brazos County for criminal justice purposes with the following Law Enforcement Agencies: a. College Station Police Department b. Texas A&M University Police Department c. Bryan Police Department d. Office of the Attorney General 28. Acknowledge receipt of all monthly reports submitted during the month of September. These reports may be reviewed in the County Judge's Office. 29. Call for citizen input and/or concerns. 30. VOL 115 ;ACE 3 COMMISSIONERS' COURT REGULAR MEETING OCTOBER 7, 2008 A regular meeting of the Commissioners' Court of Brazos County, Texas was held in the Brazos County Commissioners Courtroom in the Administration Building, 200 South Texas Avenue, in Bryan, Brazos County, Texas, beginning at 9:00 a.m. on Tuesday, October 7, 2008 with the following members of the Court present: Randy Sims, County Judge, Presiding; Lloyd Wassermann, Commissioner of Precinct 1, Absent; Duane Peters, Commissioner of Precinct 2; Kenny Mallard, Commissioner of Precinct 3; Carey Cauley, Jr., Commissioner of Precinct 4; Karen McQueen, County Clerk, Absent. The attached sheet contains the names of the citizens and officials that were in attendance. The County Judge gave the invocation and then led the pledge of allegiance. There was no citizen input/and or concerns. The County Judge read aloud a Proclamation designating the month of November 2008 as "Home Care and Hospice Month". The Court joins with the Texas Association for Home Care and Hospice Providers to encourage the support and participation of all citizens in learning more about home care and hospice Vol I I ~ Page ~ Commissioners Court meeting October 7, 2008 2 philosophy of care for the elderly, disabled and the terminally ill. On motion by the County Judge, seconded by Commissioners Peters, Mallard, and Cauley the Court voted unanimously to proclaim the month of November 2008 as " Home Care and Hospice Month" throughout Brazos County. The next matter before the Court was consideration of a request from the Sheriff's Office to transfer sufficient funds from Patrol Position #13 to the Courthouse Security Supervision Position #1 to reclassify it from a Group 23, Step 5 to a Group 23, Step 7 position. The Sheriff also requested that the balance of dollars be retained in Patrol Position 13 through the 2007/2008 and 2008/2009 budget years. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered a request from 361St District Court Judge, Steve Smith to reclassify the Court Coordinator position from a Group 8, Step 7 to a Group 8, Step 9 position. On motion by the Count Judge, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered a request for an increase in the County Supplement for the District Attorney. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. Vol I I S Page Commissioners Court meeting October 7, 2008 3 The next matter before the Court was consideration of a request for a Juvenile Board Supplement of $600 for the Citizen member of the Juvenile Board. On motion by the County Judge, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered a request from Wayne Dicky, Jail Administrator to use contingency funds and for a budget amendment to the 2008-2009 budget for the purchase of a replacement Kettle for the kitchen at the detention center. On motion by Commissioner Cauley, seconded by Commissioner Mallard, the Court voted unanimously to approve the request. The Court next considered a request from Constable, Precinct 1, Archie Clark for $480 to cover cell phone allowance for his new deputy. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the request. The Court next considered Budget Amendment #07/08-50.1 through 50.4 that would reallocate funds for various departments, 85th District Court (2), 361St District Court and County Court at Law #2 (2), Constable, Precinct 1, Constable, Precinct 4, Sheriff's Office and Jail. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the budget amendments as Vol 115- Page ~0 Commissioners Court meeting October 7, 2008 4 submitted. A copy of each amendment is attached. The Court next considered Budget Amendment #08/09-1.1 through 1.8 that would transfer funds from Sheriff's Office to Courthouse Security, from Contingency to Non-Departmental, Capital Improvement Fund-Jail, Constable, Precinct 2, 361St District Court, Juvenile Services, District Attorney; and transfer funds from Road & Bridge Department Contingency to Road & Bridge Department. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the budget amendments as submitted. A copy of each amendment is attached. The Court proceeded to consider the change of status of employees as submitted on the attached Personnel Action Requests. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the changes as submitted. The next matter before the Court was consideration of a contract with Brazos County Historical Commission to actively promote the interest in and appreciation of the rich history of Brazos County. Funding is to be in the amount of $5,100 for the period of October 1, 2008 through September 30, 2009. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the contract Vol 115 Page Commissioners Court meeting October 7, 2008 5 and authorized the County Judge to execute the document. A copy is attached. The Court next considered the following Claims as submitted by the County Treasurer for payment: 7054778 through 7055000 On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the Claims as submitted. The next matter for consideration was approval of tax refund application from the following individual: a. Ree Vee Thompson & Linda, over payment $ 1,638.88 On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the tax refund application. The Court next considered a Resolution authorizing the institution by the County Attorney of Eminent Domain Proceedings concerning a tract of and at 1821 Sandy Point Road, Bryan, Brazos County, Texas. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to adopt the Resolution authorizing the institution by the County Attorney of Eminent Domain Proceedings against Joe Marino or against the real and true Vol II5 Page S Commissioners Court meeting October 7, 2008 6 owner, owners, claimant, or claimants. A copy of the Resolution is attached. The next matter before the Court was consideration of the effective date and increase to employee and retiree medical and dental premiums. Medical premiums will increase to $30 per month. All other categories will increase by 5 percent. Dental premiums will increase by 20 percent in all categories. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the increases and to make the increases effective January 1, 2009. A copy is attached. The Court next considered awarding Bid No. 2008-047, Oil Changes. Pat Howard, Purchasing Agent, recommended acceptance of the bid submitted by H&M Wholesale. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to accept the recommendation of the Purchasing Agent and award the contract to H&M Wholesale. A copy of the bid tabulation is attached. The next matter before the Court was consideration of the Asset Forfeiture Report for Constable, Precinct 1. On motion by Commissioner Peters, seconded by Commissioner Mallard, the Court voted unanimously to accept the report. Vol 115 Page 11 Commissioners Court meeting October 7, 2008 7 The Court next considered the Texas County and District Retirement Plan Provision for plan year 2009. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to make no changes in the current plan and to maintain the elected rate of 11.80 percent for Plan Year 2009. A copy of the declaration is attached. The next matter before the Court was consideration of a payment authorization in the amount of $76,300.00 to Adele Carboni Consulting for records management services. The amount exceeded the purchase order. On motion by Commissioner Cauley, seconded by Commissioner Peters, the Court voted unanimously to approve the payment authorization. The Court proceeded to consider another payment authorization in the amount of $350.00 to Brazos United Roofing, Inc. for repairs for the Sheriff's Office. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the payment authorization. The Court next considered the request from Wickson Creek Special Utility District to construct a road bore for water line installations in the right-of-way of Saxon Road. The site is located in Precinct 2. The County Engineer stated that all appeared to be in order and recommended approval. On motion by Commissioner Peters, seconded by Commissioner Vol 115- Page 10 Commissioners Court meeting October 7, 2008 8 Cauley, the Court voted unanimously to approve the request from Wickson Creek Special Utility District and authorized the installation. A copy of the request is attached hereto. The next matter before the Court was consideration of an Earnest Money Contract and grant authorization for the County Judge to sign all documents necessary to close the transaction for sale of 4,400 square feet of land along Jones-Butler Road in Precinct 1. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to accept the Earnest Money Contract and authorized the County Judge to execute the documents. The Court next considered extension of the medical contract with Dr. Rany Cherian for the 2008-2009 fiscal year to provide medical services to inmates in the Brazos County Jail. The fee is $5,500 each month services are provided. On motion by Commissioner Peters, seconded by Commissioner Cauley, the Court voted unanimously to approve the extension of the medical contract with Dr. Cherian and authorized the County Judge to execute the document. A copy is attached. The Court next considered a contract with ATM Adventures to provide ATM machines at the following locations: A. Brazos County Administration Building B. Brazos County Tax Office Brazos County will receive $0.25 for each approved surcharged cash withdrawal. On motion by the County Judge, seconded by Commissioner Mallard, the Court voted unanimously to approve the contract with ATM Adventures and authorized the County Judge to execute the document. The next matter before the Court was consideration of Data Access Agreements for the use of data obtained, stored and maintained by Brazos County for criminal justice purposes with the following law enforcement agencies: a. Brazos County acting through the County Judge and the County Commissioners agrees to provide funding in the amount of $5,100 for the Brazos County Historical Commission (BCHC) to actively promote the interest in and appreciation of the rich history of Brazos County by encouraging individuals, organizations, businesses, and others to submit applications for historical markers for buildings, organizations, activities, individuals, sites of historical events, and other entities and events throughout Brazos County and by supporting other groups and events that have the same goals. The Brazos County Historical Commission annually requests funding to carry out its duties as a state mandated unit of the county and spends county appropriated funds to carry out the activities which the Texas Historical Commission encourages every county historical commission to carry out. The BCHC uses county funds to pay for markers only when there is no individual, group, or agency to pay for a marker that the BCHC feels is important to help inform citizens of Brazos County and others who may visit the county about some part of the rich history of Brazos County. We understand that visitors to Texas from other states often seek out historical markers along our highways to help them obtain information about historical sites throughout the state. Whenever a new historical marker is created for Brazos County we organize a publication dedication ceremony and encourage the members of the BCHC, the general public, and the various media outlets in the area to attend to help get out the message that there is much of historical interest to see in Brazos County. Any funds not expended by the BCHC during the fiscal year for which the funds have been appropriated revert to Brazos County. Upon request, BCHC will make its books and records available to the Brazos County Auditor for inspection and to confirm that monies have been expended toward the purposes stated herein. RESOLUTION A RESOLUTION OF THE BRAZOS COUNTY COMMISSIONERS' AUTHORIZING THE INSTITUTION BY THE COUNTY ATTORNEY OF EMINENT DOMAIN PROCEEDINGS WHEREAS, the Brazos County Commissioners' Court now finds and determines that public convenience and necessity require Brazos County to acquire private property at 1821 Sandy Point Rd., Bryan, Brazos County, Texas, for public use through the exercise of eminent domain; and WHEREAS, an independent professional appraisal report of the subject property has been submitted to the county which accordingly established and approved a certain amount determined to be just compensation for that property, and WHEREAS, the Brazos County Commissioners' Court, through its duly authorized representatives, has negotiated with the owner of the land for the purchase of same for the purpose stated herein and the owner has been unable to agree with Brazos County on the property's fair cash market value thereof and damages, if any, and further negotiations for settlement have become futile and impossible, and WHEREAS, the Brazos County Commissioners' Court has complied with all prerequisites of the law, including a "Landowner's Bill of Rights" statement to the owner, along with a copy of an appraisal report, and public necessity requires the acquisition of the unencumbererd fee simple title to the property described above for the contemplated construction, expansion, installation, maintenance, and operation of a county jail and related public purposes, now, therefore, BE IT RESOLVED BY THE BRAZOS COUNTY COMMISSIONERS COURT OF BRAZOS COUNTY, TEXAS: Section 1. The land is necessary to serve a public purpose, being the construction, installation, expansion, maintenance, and/or operation of buildings, including, but not limited to, a county jail, in furtherance of the operations and administration of the Brazos County Sheriff's office.. ACCESS, INSPECTIONS AND UTILITIES: Seller shall permit Buyer and Buyer's agents access to the Property at reasonable times. Buyer may have the Property inspected by inspectors selected by Buyer and licensed by TREC or otherwise permitted by law to make inspections. Seller at Seller's expense shall turn on existing utilities for inspections. NOTICE: Buyer should determine the availability of utilities to the Property suitable to satisfy Buyer's needs. B. COMPLETION OF REPAIRS: Unless otherwise agreed in writing, Seller shall complete all agreed repairs prior to the Closing Date. At Buyer's election, any transferable warranties received by Seller with respect to the repairs will be transferred to Buyer at Buyer's expense. ENVIRONMENTAL MATTERS: Buyer is advised that the presence of wetlands, toxic substances, Including asbestos and wastes or other environmental hazards or the presence of a threatened or endangered species or Its habitat may affect Buyer's intended use of the Property. If Buyer is concerned about these matters, an addendum promulgated by TREC or required by the parties should be used. E. SELLER'S DISCLOSURE: Except as otherwise disclosed in this contract, Seller has no knowledge of the following: (1) any flooding of the Property; 2 any pending or threatened litigation, condemnation, or special assessment affecting the Property; (3) any environmental hazards or conditions affecting the Property; 4J any dumpsite, landfill, or underground tanks or containers now or previously located on the Property; (5) any wetlands, as defined by federal or state law or regulation, affecting the Property; or 6 any threatened or endangered species or their habitat affecting the Property. 8. PRORATIONS: Taxes for the current year, interest, maintenance fees, assessments, dues and rents will be prorated through the Closing Date. If taxes for the current year vary from the amount prorated at closing, the parties shall adjust the prorations when tax statements for the current year are available. Wd TS:TT:T LOOZ/b/Zi'IepoW'6MpjbapnEj(\E)Ma\ZOOZ aVJcqnV\saIld we BOJd\:O SS EXTENSION CONTRACT FOR MEDICAL SERVICES Brazos County, a political subdivision of the State of Texas, (herein the "County") and Dr. Rany Cherian, M.D., a Licensed Medical practitioner in the State of Texas, practicing in Brazos County, Texas, (hereinafter the "Service Provider"), by this extension agreement and in consideration of mutual promises set forth below have agreed as follows: ARTICLE I JAIL SERVICES 1.01 Scope of Services The Service Provider will, upon referral from the Sheriff's Department (hereinafter referred to as "Jail") treat inmates located in the Brazos County Jail facilities operated by the Sheriffs Department. Treatment may occur both within and without the physical confines of the Jail facilities. Treatment shall include, but not be limited to, on- site emergency treatment. The Service Provider agrees to adopt and implement workplace guidance concerning persons with AIDS and HIV infection and to develop and implement guidelines regarding confidentiality of AIDS and HIV related medical information with regards to inmates being treated for any complaint. 1.02 Reporting Responsibilities The Service Provider, once treatment has been provided, will also be responsible for indicating any necessary therapy, additional follow-up medical treatment or additional medical referral needed to a medical specialist to cover any inmate problem the Service Provider believes would require such therapy or referral. The Service Provider will be responsible for communicating therapy or referral needs to the Brazos County Jail Administrator, or the designated agent. The Service Provider will document all treatment, need for follow-up treatment, any diagnostic tests needed, therapy suggestions and referral needs in note form and file the same in the inmate's medical file. 1.03 Additional Services Services to be provided pursuant to this Contract may include diagnostic testing, whether routine or otherwise, extended long-term medical treatment programs requiring more than a few treatments for a given malady, treatment outside the Jail for medical services provided at clinics operated by the Service Provider. ARTICLE H FEES 2.01 Professional Fees For the services outlined in Paragraph 1.01, the County will pay the Service Provider Five Thousand Dollars ($5,000.00), each month services are provided, consisting of an arbitrary apportionment of $4,000 representing ordinary care and $1,000 representing additional detailed care and record maintenance. Charges for any outside-the- Jail treatment of inmates at any clinic operated by the Service Provider, or a physician's certificate related to a mental health commitment, or treatment of an inmate at a hospital emergency room or for any unusual diagnostic charge, laboratory charge, or extended treatment program made under this contract will be either billed by the Service Provider as provided below, or by the independent laboratory or facility that provides such service. Page 1 of 5 l lS 5l~ 2.02 Billina The Service Provider will submit an invoice monthly, within 15 days of the end of each contract month. The Service Provider will bill the County using a standard Invoice for Services for the monthly flat rate fee. For services not covered by the Service Provider's flat fee, the Service Provider will invoice the County using a standard Invoice for Services, showing Date of Service, Inmate Number, Test or Service Performed with itemized costs for each, and Extended Total, at prevailing prices, which shall also be stated on the bill. The County shall pay for services monthly. The Service Provider will not be responsible for invoicing nor handling any but the related paperwork needed for the orders for such independent laboratory or diagnostic tests as part of this agreement. ARTICLE III ADMINISTRATION OF CONTRACT 3.01 Transportation If the Service Provider has assessed that an inmate needs to be relocated from the Jail for medical service of any kind or for any reason, this assessment will be relayed at the earliest possible time to the Sheriff, Jail Administrator or his agent, so that immediate action can be taken. The Sheriff's Department shall be responsible for initiating any paperwork which may be needed to re-locate or transport the inmate for such treatment and for the transportation to an appropriate facility. 3.02 Access to Files Once an inmate has been referred to the Service Provider, the Service Provider will be allowed to have access to that inmate's personnel and medical file. A written request for such access is not required to be filed with the Sheriffs Department. Under ordinary circumstances, presenting an inmate for medical treatment will be evidence of the authority for access of such records by the Service Provider. 3.03 Suu°ort While on-site, the Sheriffs Department shall be responsible for providing the Service Provider with any reasonable support, assistance or security that may be requested. 3.04 Patient Acceptance The Service Provider is under no obligation to accept for medical treatment an inmate that the Service Provider deems inappropriate for treatment, however, it is not anticipated that this would ever be likely in the course of this contract. ARTICLE IV INSURANCE 4.01 Each party to this agreement is responsible for maintaining their own liability insurance and worker's compensation insurance, and each party will provide proof of same to the other party on request. The Service Provider shall maintain during the term of this contract a $1,000,000.00 malpractice insurance policy and a General Liability Policy of $1,000,000.00 naming Brazos County, as an additional insured. Service Provider shall provide a Certificate of Insurance for both policies which shall provide for a fifteen (15) days advance notice to County of the cancellation of such policy. Page 2 of 5 ~~5 67 ARTICLE V INDEMNITY 5.01 The Service Provider agrees to and shall indemnify and hold harmless and defend the County, its officers, agents, and employees from and against any and all claims, losses, damages, causes of action, suits, and liability of any kind, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person or any breach of contract arising out of or in connection with any work done by the Service Provider pursuant to this Agreement. ARTICLE VI INDEPENDENT CONTRACTOR 6.01 In all activities or services performed hereunder, the Service Provider is an independent contractor, and not an agent or employee of the County. The Service Provider, as an independent contractor, shall be responsible for all medical services provided and medical decisions made pursuant to the terms of this Contract. The Service Provider shall supply all materials, equipment and labor required for providing of medical services as required herein. The Service Provider shall have ultimate control over the execution of the work under this Agreement. County shall have no control over any decision, recommendation, or action taken by the Service Provider pursuant to this Contract. 6.02 The Service Provider shall retain personal control and shall give her personal attention to the faithful prosecution and completion of the services contracted for herein and fulfillment of this Agreement. ARTICLE VII LICENSING 7.01 The Service Provider is required to maintain all applicable licensing permits to practice medicine. Further, all permits to or certification necessary to operate the Provider's clinics shall be maintained. Copies of any applicable licenses are to be fled with Brazos County. ARTICLE VIII DEFAULT 8.01 Events of Default The following occurrences shall be considered events of default: a. Failure to maintain license to practice medicine or any restrictions being placed upon such license by the State Board of Medicine making the providing of services hereunder impossible or difficult. In the event of any ATM failure, damage, or other problem requiring repair, replacement, adjustment or maintenance, COUNTY shall notify COMPANY or a person designated by COMPANY within twenty-four (24) hours of first becoming aware of such failure or problem, COUNTY will not permit anyone, other than an authorized representative or designee of COMPANY, to perform any service or repair work on an ATM without COMPANY's prior written approval. COMPANY or its representatives shall at any reasonable time and at al I times during business hours have the right to enter into and upon the Prcurisus for the purpose of inspecting, repairing, maintaining, or upgrading the ATM and observing its use. COMPANY shall cooperate in providing maintenance, service, parts replacement or repair that can be performed by remote communication. , Owner agrees to ship and install the ATM(s), tram COUNI'Y's staff as necessary, and deliver initial supplies to COUNTY. The ATM shall be and remain the sole property of COMPANY. COUNTY shall execute and deliver upon request documentation to put third parties on notice of COMPAN Y's interest in the ATM(s). COMPANY shall inventory an adequate supply of paper at the ATM and add as necessary. COMPANY shall keep sufficient amounts of cash in the ATM(s) at all times, COMPANY shall, reimburse the COUNTY for the costs of a dedicated business dial up telephone line. County shall, at its expense, provide one ore more dedicated operating electrical power outlet(s) (1 IOv) for ATM usage. Both the telephone line and electrical power outlet shall be within three (3) feet of the ATM site. Unless otherwise agreed in writing COMPANY shall pay for monthly charges incurred in connection with such telephone line. Unless otherwise agreed in writing COUNTY shall pay for monthly charges incurred in connection with electrical power usage necessary to operate the ATM and related signabe_ The ATM(s) shall remain the property of COMPANY. COMPANY'S Vault Cash :Providcr shall at all time be the sole owner of all cash in the ATM. No other person or entity shall have any right, title, cla.irn, or interest in such cash. COMPANY'S Vault CashProvidcr ownership of, and right to access or remove such cash, shall not be subject to any claim, set off, arbitration, or lien by COUNTY or others under any circumstance. COMPANY shall pay COUNTY for each surcharged transaction made on the ATM(s) as set forth in Exhibit 1. For purposes of this Agreement, a transaction is defined as any cash withdrawal made fron, a cardholder's account when a surcharge fee is collected. Payments for transactions will be disbursed monthly by Company on or before the 15"' day of each calendar month following the calendar rnonth in which the transactions occurred. COMPANY and COUNTY agree that an initial transaction surcharge fee of $2.00 per transaction will be imposed on all foreign transactions on the ATM. An amount $.25 will be paid to the COUNTY for each approved surcharged cash withdrawal inade in that month. Payment to COUNTY will he made within 15 days following the end of each completed month. Except for the payments provided for herein (see Exhibit 1 and 2), for the period during which the ATM is installed and operational, COMPANY shall have no liability to COUNTY of any nature; whatsoever, including any special, incidental, exemplary or consequential liabilities. COUNTY acknowledges that COMPANY, its affiliates, representatives, agents, assigns, distributors and independent contractors have not made any representations or warranties in connection with the ATM or any projected revenues or expenses in connection with the operation of the ATM. COMPANY agrees to pay COUNTY during the, term of this Agreement as set forth in Exhibit 2. With COUNTY's written permission COMPANY, at Company's expense, may place signage on the interior and/ or exterior of each Building in which an ATM is operated which prominently advertises the ATM. COUNTY will permit COMPANY to place any advertising or signagc it chooses on any ATM or that might be displayed by any ATM or on any customer receipts printed by the ATM. The term of this Agreement shall commence on the date first above written and shall continue three (3) years. County may terminate this Agreement during the original term or any renewal term for cause. Cause being ATM not operational for periods longer than one week, or County is not being paid monthly. COMPANY may tenninate this Agreement in the event less than 100 transactions have occurred per month in any two consecutive calendar months during any term of this Agreement or in the event COUNTY has failed to fulfill any of its obligations under the terms hereof. Upon expiration of this Agreement, COUNTY grants to COMYAN Y the first right of refusal to match any bona fide third party ATM placement or location agreement for ATM's covered under this Agreement. This Agreement and the exhibits attached hereto constitute the entire Agreement between COMPANY and COUNTY with respect to the subject matter hereof and shall supersede all previous negotiations, commitments and writings. This Agreement may not be released, discharged. abandoned, changed or modified in any manner except by an instrument in writing signed by a duly authori7.ed officer or representative of both COMPANY and COUNTY. The failure of either Party to enforce at any time any provision of this Agreement or to exercise any right herein provided shall not in any way he construed to be a waiver of such provision or right in connection with any subsequent breach or default, and shall not in any way affect the validity ofthis Agreement or any part hereof, or limit, prevent or impair the right of such Party subsequently to enforce such provision or exercise such right. Any notice required or permitted hereunder shall be in writing and given by personal service or by depositing same in the United Slates mail., .first class postage prepaid, to the address of the Party receiving notice as it appears on the signature page of this Agreement or as changed through written notice to the other party. Venue for any shit filed against BRAZOS COUNTY shall be Brazos County. The parties are aware that there are constitutional and statutory limitations on the authority of the COUNTY to enter into certain terms and conditions of the Agreement, including, but not limited to, authorizations of the placement ofliens oil COUNTY property; disclaimers anti limitations of warranties; disclaimers and limitations of liability for damages; waivers, disclaimers and limitations of legal rights, remedies, requiremcnis and processes; limitations of periods to bring legal action; granting control of litigation or settlement to another party; liability for acts or omissions of third parties; payment of attorneys' fees; dispute resolution; indemnities; and confidentiality (collectively, the "Limitations"), Any Agreement terms and conditions related to the Limitations will not be binding on the COUNTY except to the extent authorized by the laws and Constitution of the State of Texas. Neither party m.ay assign this Agreement without prior written consent of the other party. TL is expressly understood and acknowledged that it is not. the intention or purpose of this Agreement to create, nor shall the same be construed as creating, any type of partnership, relationship or joint venture.
